Fairtrade Africa Board

Fairtrade Africa is guided by a diverse Board that includes producer representatives from each region and independent experts.

The Board is responsible for:

  • Approve FTA operating plans and budgets.
  • Discussing strategy and governance matters affecting the organisation.
  • Recruitment of the Executive Director and departmental Directors through the Human Resource Committee.
  • Set performance targets and monitor delivery, including responsibilities, objectives and performance appraisal of the Executive Director.
  • Ensuring compliance with Fairtrade rules and local compliance of statutory laws.
  • Managing risk for the organisation. 
  • Nominate FTA representatives to the Fairtrade International Board and other Fairtrade system committees.

The Board also works through various Board sub-committees which include:

  1. The Governance Committee – mandated to oversee the governance of the organisation, the Regional Producers’ Congresses and make recommendations to the Board, the Congresses and the Producers for improvements in structures and processes.
  2. The Finance Committee (FC) – The FC will provide advice, recommendations and reports to the Board on matters of financial oversight, financial reporting, risk management framework, and other related matters as determined by the Board.
  3. The Risk & Audit Committee – mandated to assist the Board in its oversight of the integrity of the Company’s financial reporting, including supporting the Board in meeting its responsibilities regarding financial statements and the financial reporting systems and internal controls.
  4. The Human Resource and Appeals Committee – mandated to review and monitor the organisation’s Human Resources Management strategy to determine whether the Human Resource plans and initiatives will enable the organisation to achieve its strategic objectives. Shall also act as an appeals forum for employment matters.
  5. The Nominations Committee – mandated to provide recommendations and advice to the Board to enable the organisation to secure people with the skills and competencies needed for its governance.
  6. The Board Evaluation Committee – mandated to audit the Board’s performance as set at the beginning of their term.
  7. Protection & Safeguarding Committee - Provide top-level oversight to social compliance, at the wake of increasing HREDD demands and make top-level decisions about social risk management, including reputational risk management. 
  8. Markets Committee – mandated to oversee and supervise the commercial directorate in terms of marketing initiatives and play an advisory role to the Board of Directors on matters markets.

Each committee reports to the Board and comprises of 3 people as follows: one Board representative, one Independent recruited for their expertise and one Producer representative.  The Nominations and Board Audit Committee have no Board representation present due to conflict of interest.
